Banks Syndicate $35B Broadcom–Anthropic AI Chip Financing; Largest Private Credit Deal Ever

Wall Street banks including Bank of America and Morgan Stanley have started trading slices of a $35 billion financing package for Broadcom and Anthropic's AI infrastructure expansion, marking the largest private credit syndication on record. The debt is now being distributed to a wider pool of institutional investors (pension funds, insurers) in the post-underwriting phase, transferring exposure off bank balance sheets into the broader credit markets.

The scale reflects a structural shift in AI financing: hyperscalers and compute providers are increasingly funding chip procurement via debt rather than equity to preserve cash and accelerate deployment. A $35 billion single-deal tranche is comparable in magnitude to major infrastructure buildouts, but with a key difference—the underlying assets (Nvidia GPUs, custom silicon) depreciate over years, not decades. Banks are engineering instruments that let institutional capital gain indirect exposure to the AI capex cycle without holding operator equity.

Context: Morgan Stanley raised its 2027 capex forecast for the big four hyperscalers to $1.1 trillion (25% above consensus), up from ~$800 billion in 2026. That capex inflection requires ~$1.5 trillion in total financing across debt and equity over 2026–2028—making mega-deals like this one de facto anchor transactions for AI build-out.

For architects, this is a capital-markets vote on AI's staying power. Pension funds and insurers—the most conservative institutional allocators—now price AI infrastructure debt at scale, suggesting the sector has moved from venture/founder capital toward institutional conviction. But the depreciation risk on GPU collateral and the concentration on 2–3 hyperscalers suggest banks are carefully ringfencing exposure.
