NVIDIA discloses 9.3% stake in Nebius; stock surges as neocloud clinches AI infrastructure deals

NVIDIA disclosed a 9.3% ownership stake in Amsterdam-based Nebius through an SEC filing on July 21, lifting the neocloud's shares 7% in premarket trading. Nebius stock has climbed nearly 250% over the past 12 months, valuing the company at $46 billion. This represents NVIDIA's latest strategic play in AI infrastructure, following previous investments of $30 billion in OpenAI's $110 billion March funding round and participation in Anthropic's $30 billion Series D in February.

The NVIDIA-Nebius partnership extends beyond the equity stake. NVIDIA previously announced a separate $2 billion investment agreement that includes collaboration on AI infrastructure deployment, fleet management, inference optimization, and AI factory design. Nebius has locked in multiple capex deals with tech giants in 2026, including a long-term agreement with Meta to spend up to $27 billion on Nebius infrastructure.

Separately, Nebius raised $775 million in senior secured debt backed by deployed GPU infrastructure and contracted cash flows from an investment-grade customer—signaling confidence in long-term revenue commitments. Freedom Capital Markets upgraded the company to a buy rating on the debt raise.

For infrastructure architects: this stake reveals NVIDIA's dual play—controlling hardware sales while reducing capex risk by holding equity in the cloud providers that deploy it. The $46 billion valuation suggests venture and strategic capital are repricing neocloud capacity from commodity to strategic asset. Watch whether other GPU vendors follow suit.
