NVIDIA pays $6B to license Poolside's AI model factory; founders stay to run infrastructure play

NVIDIA has struck a non-exclusive $6 billion licensing deal with Poolside AI to access the startup's Model Factory, a platform for building generative AI models tailored to software development. The chip giant simultaneously invested $1 billion in equity at a $12 billion pre-money valuation. The unusual structure leaves Poolside's three founders in place while 109 core technical employees receive job offers to join NVIDIA—marking what Poolside calls a "reverse-execuhire," distinct from traditional acquisitions or acquihires where founders typically leave.

The deal reflects NVIDIA's pattern of locking in AI software and talent through licensing rather than outright acquisition, similar to deals with Groq ($20B) and Enfabrica ($900M). Poolside's founders told investors the capital will resolve a hard constraint: last year they lost a 40,000-chip H100 cluster they couldn't afford to build, forcing a strategic pivot away from frontier model training. The remaining company now aims to pivot toward infrastructure, including Poolside Infrastructure Company (PIC), a separate entity building data centers.

For architects, the licensing structure sidesteps regulatory scrutiny while giving NVIDIA access to Poolside's Laguna model development suite and production know-how. The $6 billion payout will be distributed to existing investors by end of 2027, creating a clear return path. The deal also signals that NVIDIA sees software-development AI as defensible: Poolside's models focus on government and defense coding automation, reducing competitive pressure from cheaper open-source alternatives.
