Onsemi acquires Synaptics for $7B; edge-AI compute deal

Onsemi agreed to acquire Synaptics in an all-stock transaction valued at approximately $7 billion, announced June 25, combining the chipmaker's power and sensing technologies with Synaptics' edge-AI processors, wireless connectivity, and human-machine interface platforms. Synaptics shareholders receive 1.35 onsemi shares per share, a 19% premium to the 10-day volume-weighted average price.

Onsemi CEO Hassane El-Khoury framed the deal as betting on 'Physical AI'—systems that sense, decide, act, and adapt in real time outside the cloud. The combination is designed to serve autonomous vehicles, robotics, and augmented/virtual reality by stitching together components for edge inference: power management, sensors, connected compute, and wireless. Synaptics brings its Astra platform, which combines AI processors and NPUs for multimodal intelligence with an industry-leading wireless stack.

The deal expands onsemi's addressable market by $30 billion to $243 billion by 2030 and targets $200 million in annual cost and revenue synergies. Non-GAAP EPS accretion is expected within 18 months. The transaction is expected to close in mid-2027, subject to regulatory approval. Synaptics shareholders will own about 12% of the combined company on a fully diluted basis.

For architects, this signals the infrastructure shift: as Nvidia owns training and high-end inference, the next battleground is inference at the edge—in devices, vehicles, and embedded systems. Onsemi's bet that integrated power + sensing + compute + connectivity becomes a standard requirement for Physical AI applications is a structural call on the AI hardware stack expanding beyond data centers. M&A consolidation around edge-inference platforms is accelerating.
