Qualcomm completes $3.9B acquisition of Modular; Chris Lattner leads AI software division

Qualcomm completed its acquisition of Modular Inc. on July 29, 2026, closing the $3.9 billion all-stock deal roughly five weeks after announcing it on June 24. Modular stockholders received up to 19.2 million newly issued Qualcomm common shares via private placement, with Chris Lattner, Modular's co-founder and CEO, stepping into the role of Executive Vice President of Advanced AI Software and Platforms at Qualcomm. The acquisition accelerates Qualcomm's push to diversify beyond smartphone chips into AI infrastructure, aligning with the company's fiscal 2029 data center target of $15 billion in revenue.

Modular provides an AI-native software platform that lets developers write AI models once and deploy them across CPU, GPU, NPU, and custom ASIC architectures without rewrites. The platform includes Mojo (a Python-like systems language for GPU/CPU kernels), MAX (an inference-serving framework), and Modular Cloud. By owning the compiler, serving framework, and language layer, Qualcomm gains direct control over a vendor-neutral toolchain that competes with NVIDIA's CUDA ecosystem and aims to reduce vendor lock-in.

The deal positions Qualcomm to deliver AI software that runs efficiently across diverse hardware at launch, rather than waiting for third-party developer ecosystems to mature. Combined with Qualcomm's energy-efficient processors, the Modular stack addresses performance-per-watt constraints that are critical as enterprise AI deployments scale. The completion comes amid Qualcomm's shift: handsets now represent only roughly one-third of projected chip revenue by fiscal 2029, with automotive, robotics, and industrial edge each growing independently.
